The Zaky (« l’application mobile ») qui est la propriété de Nurtured by Design (« Nous », « notre » et « l’entreprise ») vous souhaite la bienvenue.

Nous vous offrons l’accès à nos services par notre “application mobile” (définie ci-dessous) sujette aux Modalités et conditions suivantes, qui peuvent être mises à jour par nous en tout temps sans nécessairement vous en notifier. En accédant et en utilisant cette application mobile, vous reconnaissez avoir lu, compris et accepté d’être lié par la loi à ces modalités et conditions, ainsi qu’à notre politique de confidentialité, qui seront à partir de maintenant incorporés par renvoie (collectivement, cette « entente »). Si vous n’acceptez pas ces conditions, veuillez ne pas utiliser l’application mobile.

   -   "The Agreement" denotes these terms and conditions, warnings, and the privacy policy and other documents provided to you by the mobile application;

   -   "The Service" or "the Services" denote the services shown below, which we offer through our mobile application;

   -   "The Product" or "the Products" denote the goods available for sale through our mobile application;

   -   "The User", "you" and "your" denote the person accessing the mobile application to access or benefit from our services;

   -   "The Customer" refers to users who access the mobile application to benefit from the various services of the application;

   -   "We", "our" and "the Company" refer to Nurtured by Design;

   -   "The Mobile Application" means and includes The Zaky, the mobile application ("the application" or "the mobile application") and the successor mobile applications of the company or its affiliates;

   -   "The User Account" refers to the electronic account opened by the user to benefit from the various services offered in the mobile application;

- All references to the singular include the plural, and vice versa, and the word "include" should be interpreted as "without limitation."

- Words used without regard to specific number and gender should be considered and interpreted as including all other numbers, singular or plural, and genders, masculine, feminine, or non-binary, as the context requires.

- References to any statute, ordinance, or other law include all rules and other instruments and all consolidations, amendments, re-enactments, or replacements for the time being in force.

- All headings, bold typeface, and italics (if any) have been inserted for convenience of reference only and do not define, limit, or affect the meaning or interpretation of the terms of this Agreement.

 -   Scope: These terms govern your use of the mobile application and services. Unless otherwise indicated, these terms do not apply to third-party services, which are governed by their own terms of service.

   -   Eligibility: Some mobile application services are not available to minors under 18 years of age, or to users we have suspended or removed from the system for any reason.

   -    Electronic Communications: When you use the mobile application or send us emails or other electronic communications from your computer or mobile device, you are communicating with us electronically. By sending your message, you agree to receive a response from us electronically in the same format, and you may keep copies of these communications for your records.

The Zaky is an application meticulously designed to track newborn activities and information, invite guests to participate in tracking activities, educate parents on kangaroo care (a method of holding babies in skin-to-skin contact), and improve the implementation, awareness, practice, and safety of kangaroo care.

This application is funded by the Bill and Melinda Gates Foundation and Nurtured by Design.

We reserve the right, at our sole discretion, to change, modify, add, or remove portions of the Terms (collectively, “changes”) at any time. We may notify you of changes by sending an e-mail to the address identified in your Account or by posting a revised version of the Terms incorporating the changes in the mobile application.

To access the mobile application and use its resources, you may be required to provide specific information and create a user ID and password to establish an account.

You agree that the details you provide when establishing an account are accurate and that you will keep the information up to date. You are responsible for the security of all your usernames, passwords, and registration information (such as single sign-on IDs or billing history information), and you are solely responsible for the use (authorized or unauthorized) of your accounts. You agree to notify us immediately of any unauthorized activity regarding your account, or other security breaches. We may, at our discretion, suspend or terminate any of your usernames or passwords at any time with or without notice.

Registration and Access

   -    The mobile application is free to use.
   -    Users must download the application from the Play Store for Android users or the App Store for Apple users.

Content Responsibility

The mobile application allows you to share content, post comments, feedback, etc. (“content”), but you are solely responsible for the content you post. You affirm that you have the required permissions to use the content.

When posting content on the mobile application, do not post content that:

   -    contains vulgar, abusive, offensive, racist, hateful remarks, as well as expressions, texts, photos or illustrations that are pornographic, in bad taste, incendiary attacks against a person, racist or religious in nature
   -   is defamatory, threatening, disparaging, grossly incendiary, false, misleading, fraudulent, inaccurate, unfair, or contains highly exaggerated or unsubstantiated statements
   -    violates a third party's right to privacy, poses an unreasonable risk, or is offensive to an individual or community
   -    is discriminatory in terms of race, religion, national origin, gender, age, marital status, sexual orientation or disability, or refers to these matters in a manner prohibited by law
   -   violates or inappropriately encourages the violation of any municipal, provincial, federal or international law, rule, regulation or ordinance
   -   transmits viruses or other harmful, disruptive or destructive files
   -   sends repeated messages related to another user or makes derogatory or offensive comments about another individual or repeats the same message already posted under multiple emails or subjects
   -   contains illegally obtained information or data

Such content will be rejected. In case of repeated violation of this rule, we reserve the right to cancel the user's access to the mobile application without notice.

   -    You will not be charged for using The Zaky mobile application.
   -    We are happy to support you if you have any problems, please contact The Zaky team with any queries or issues.
   -    We take customer feedback very seriously and use it to continually improve the quality of service.

Although the information on this mobile application is accessible worldwide, not all products and services discussed in this mobile application are available to all persons or in all geographic locations or jurisdictions. We reserve the right to limit the use or availability of the services to any person, geographic area or jurisdiction. We may exercise this right as needed. We reserve the right to suspend the services at any time. Offers to provide services on this mobile application are void where prohibited.

   -   You may use the Services and mobile application for lawful purposes and in accordance with applicable laws by using the mobile application;
   -   You must not upload content to the mobile application that is:
            -    Defamatory, infringes a trademark, copyright, or any other proprietary right of a person or affects privacy, contains violence or hate speech, including sensitive information about a person;
   -    You must not use or access the mobile application to collect market research data for a competing company;
   -    You must not misrepresent or impersonate a person or entity for misleading or illegal purposes;
   -   You must not use any device, site scraper, or other automatic method to access the mobile application for any purpose without asking us for permission.
   -   You must notify us if anything is inappropriate, or you may notify us if you find anything illegal in the mobile application;
   -   You must not interfere or attempt to interrupt the proper operation of the mobile application through viruses, devices, transmission mechanisms, software or routines, or access or attempt to gain access to data, files, or passwords connected to the mobile application by hacking, password or data extraction, or any other means;
   -   You must report any inappropriate content you spot to us. If you discover something that violates the law, please report it to us, and we will review the issue.

We reserve the right, in our sole and absolute discretion, to deny you access to the mobile application or a service, or a part of the mobile application or its services, without notice, and to remove content.

Please note that some content, text, data, graphics, images, information, suggestions, advice, or other materials (collectively, “Information”) that may be available through the mobile application (including Information provided in direct response to your questions or posts) may be provided by individuals. We do not endorse in any way the individuals described herein. In no event shall we be liable to you or anyone else for any decision made or action taken by you in reliance on such Information.

For users

   -   We do not guarantee the accuracy, completeness, validity, or timeliness of the information we provide.
   -   We may make changes to the material of these terms and conditions from time to time, and we may notify you of these changes by prominently posting a notice or by email.
   -    The mobile application is licensed to you on a limited, non-exclusive, non-transferable, non-sublicensable basis, solely for use in connection with the services for your private, personal, non-commercial use, subject to all the terms and conditions of this agreement as they apply to the services.
   -    You also acknowledge and agree that we have no obligation to provide maintenance and support services for the application.
   -    You acknowledge and agree that we are not responsible for responding to requests that you or a third party may have regarding the mobile application.
   -    The Zaky reserves the right to suspend or terminate the use of or access to the platform or system.

You understand and agree that we (a) do not guarantee the accuracy, completeness, validity, or timeliness of information provided by us or any third party; and (b) are not responsible for any materials posted by us or any third party. You must use your own judgment, caution, and common sense to evaluate potential methods or offers and information provided by us or any third party.

Furthermore, we are not responsible for direct or indirect consequences, or any other form of loss or damage you may incur from a user through the use of The Zaky mobile application, including loss of data or information or any kind of financial or physical loss or damage.

In no event shall Nurtured by Design or its owner, directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or exemplary damages, including, without limitation, loss of profits, revenue, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the service; (iii) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

The Zaky mobile application is not intended to diagnose, treat, cure, or prevent any disease.

We are not responsible for:

   -   the reliance you place on the material or comments posted on our mobile application. Please note that nothing contained in our mobile application or posted material is intended to be relied upon as advice; or
   -   losses you have incurred because the information you posted in our mobile application is inaccurate or incomplete; or
   -    losses you have incurred if you have misrepresented facts that may influence the service provider's decision to accept the risk or the terms offered; or
   -    losses you have incurred because you can no longer use our mobile application at any time; or
   -    errors or omissions in our mobile application; or
   -    losses you have incurred by relying on a comment, post, or feedback (from our services or our partners) on our mobile application; or
   -    unauthorized access or loss of personal information that is beyond our control.

The mobile application may contain links to external websites or third parties ("external sites"). These links are provided solely for your convenience and do not imply endorsement by us of the content on these external sites. The content on these external sites is created and used by others. You may contact the site administrator for these external sites. We are not responsible for the content of linked external sites and make no representation as to the content or accuracy of information on external sites. You should take security precautions when downloading files from these websites to protect your computer from viruses and other important programs. If you agree to access linked external sites, you do so at your own risk.

By accessing or using our mobile application, you agree that we may use, store, or otherwise process your personal data in accordance with our privacy policy.

Every effort has been made to ensure that the information provided on this mobile application is accurate and free of errors. We apologize for any errors and omissions that may have occurred. We cannot guarantee that the use of the mobile application is error-free or fit for its purpose, that defects will be corrected in a timely manner, or that the site or server that makes it available are free of viruses or bugs, or signify the full functionality, accuracy, reliability of the mobile application, and we make no warranties, express or implied, as to fitness for purpose or accuracy.

THE MOBILE APPLICATION AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY, INCLUDING THAT THE MOBILE APPLICATION WILL OPERATE ERROR-FREE OR THAT THE MOBILE APPLICATION, ITS SERVERS OR ITS CONTENT OR SERVICES ARE FREE OF COMPUTER VIRUSES OR OTHER SIMILAR CONTAMINATING OR DESTRUCTIVE FEATURES.

WE DISCLAIM ALL PERMITS OR WARRANTIES, INCLUDING BUT NOT LIMITED TO PERMITS OR WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES, RIGHTS, FITNESS FOR PARTICULAR NEEDS AND ALL WARRANTIES ARISING FROM THE TREATMENT OF MATTERS, PERFORMANCE OR USE OF TRADE. IN CONNECTION WITH CLAIMS FOR WARRANTIES, CONTRACTS, OR CIVIL LIABILITY: (I) WE ARE NOT LIABLE FOR UNINTENTIONAL, ACCIDENTAL OR SUBSTANTIAL DAMAGES, LOSS OF PROFITS OR DAMAGES RESULTING FROM LOSS OF DATA OR INTERRUPTION OF OPERATIONS RESULTING FROM THE USE OR INABILITY TO ACCESS AND USE THE MOBILE APPLICATION OR CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE MOBILE APPLICATION MAY CONTAIN TECHNICAL INACCURACIES, TYPOGRAPHICAL ERRORS OR OMISSIONS. UNLESS REQUIRED BY APPLICABLE LAW, WE ARE NOT RESPONSIBLE FOR TYPOGRAPHICAL, TECHNICAL OR PRICING ERRORS RECORDED ON THE MOBILE APPLICATION. THE MOBILE APPLICATION MAY CONTAIN INFORMATION ABOUT CERTAIN SERVICES THAT ARE NOT AVAILABLE IN ALL LOCATIONS. REFERENCE TO A SERVICE ON THE MOBILE APPLICATION DOES NOT IMPLY THAT SUCH SERVICE IS OR WILL BE AVAILABLE IN YOUR LOCATION. WE RESERVE THE RIGHT TO CHANGE, CORRECT OR IMPROVE THE MOBILE APPLICATION AT ANY TIME WITHOUT NOTICE.

Vous devez conserver le droit d’auteur ou les autres avis de propriété contenus dans le Contenu original sur toutes les copies que vous faites du Contenu. L’utilisation ou la publication du Contenu sur une autre application mobile ou un environnement de réseau informatisé, à quelque fin que ce soit, est strictement interdite.

Si vous enfreignez la présente entente, votre permission d’accéder ou d’utiliser le Contenu et l’application mobile sera immédiatement retirée et vous devrez détruire toutes les copies que vous avez faites du Contenu.

Nos marques déposées, nos marques de service et les logos utilisés et affichés sur l’application sont des marques déposées enregistrées et non enregistrées ou des marques de service nous appartenant. Les autres noms de sociétés, de produits et de services présents sur l’application mobile peuvent être des marques déposées ou des marques de service qui sont la propriété d’autres sociétés (les « Marques déposées de tiers » et, collectivement avec les nôtres, les « Marques déposées »). Rien sur l’application mobile ne doit être interprété comme accordant, par implication, préclusion ou autrement, une licence ou des droits d’utilisation des Marques déposées sans autorisation ou sans notre consentement écrit explicite pour chaque cas.

You agree to defend, indemnify, and hold us and our officers, directors, employees, successors, and protected licensees harmless from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, arising from your breach of this agreement or your misuse of the content or the mobile application. We will notify you of any such claim, suit, or proceeding and will assist you, at your expense, in defending any such claim, suit, or proceeding. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests to assist our defense of such matter.

DISSOCIABILITÉ

RÉSILIATION

Nous ne sommes pas responsables envers vous ou envers une tierce partie suite à cette fin de service. La résiliation des présentes modalités met fin à tous vos abonnements aux services.

Effet de la résiliation. À la résiliation de ces modalités pour n’importe quelles raisons, ou l’annulation ou l’expiration de vos services : (a) nous cesserons de fournir les services; (b) vous n’aurez pas droit à un remboursement ou à des frais d’utilisation, ou tout autres frais, au prorata ou autrement; (c) les frais que vous nous devez seront immédiatement dus et devront être payés en totalité, et (d) nous pouvons supprimer vos données archivées dans les 30 jours. Toutes les sections des modalités qui aide à la survie, ou par leur nature devraient survivre, survivrons à la résiliation des modalités, incluant sans se limiter l’indemnisation, les exclusions de garanties, et les limites des responsabilités.

LOIS APPLICABLES ET RECOURS JUDICIAIRES

Les modalités mentionnées seront gouvernées et interprétées conformément à la loi des États-Unis d’Amérique et de l’État du Texas sans donner effet aux principes de conflits des lois. La cour de l’État du Texas a la juridiction exclusive sur les disputes soulevées par l’utilisation de l’application mobile.

 FORCE MAJEURE

Nous n’avons aucune responsabilité envers vous, vos utilisateurs ou les tierces parties si nous échouons à remplir nos obligations conformément à ces conditions si cet échec est le résultat d’un événement survenant hors de notre contrôle raisonnable, incluant sans se limiter à un acte de guerre ou de terrorisme, une catastrophe naturelle, une panne de courant, une émeute, un désordre civil, une commotion civile ou un autre cas de force majeure.

ASSIGNATION

L’entreprise a le droit d’assigner ou de transférer cette entente à une tierce partie incluant sa tenue de l’entreprise, des subsidiaires, des affiliés, des associés, des groupes d’entreprise, sans le consentement de l’utilisateur.
